W uchwale z dnia 17 lutego 2016 roku, sygn. III CZP 108\/15, S\u0105d Najwy\u017cszy uzna\u0142, \u017ce skuteczno\u015b\u0107 wyra\u017conej w spos\u00f3b dorozumiany (art. 60 k.c.) zgody inwestora na zawarcie przez wykonawc\u0119 umowy o roboty budowlane z podwykonawc\u0105 jest uzale\u017cniona od zapewnienia mu mo\u017cliwo\u015bci zapoznania si\u0119 z postanowieniami tej umowy, kt\u00f3re wyznaczaj\u0105 zakres jego odpowiedzialno\u015bci przewidzianej w art. 647 1 \u00a7 5 k.c.<\/p><p>W sprawie b\u0119d\u0105cej podstaw\u0105 podj\u0119cia powo\u0142anej wy\u017cej uchwa\u0142y, podwykonawca domaga\u0142 si\u0119 od inwestora zap\u0142aty wynagrodzenia za zrealizowane roboty budowlane, kt\u00f3re nie zosta\u0142o uregulowane przez wykonawc\u0119. W realiach omawianej sprawy wykonawca nie poinformowa\u0142 inwestora, \u017ce cz\u0119\u015b\u0107 rob\u00f3t budowlanych b\u0119dzie realizowana przez wyst\u0119puj\u0105cego z roszczeniem podwykonawc\u0119, jak r\u00f3wnie\u017c nie przekaza\u0142 mu umowy o podwykonawstwo lub jego projektu. W toku procesu zosta\u0142o natomiast wykazane, \u017ce \u017c\u0105daj\u0105cy zap\u0142aty wynagrodzenia podwykonawca uczestniczy\u0142 w spotkaniach roboczych dotycz\u0105cych przebiegu rob\u00f3t wraz z przedstawicielami inwestora, a pracownicy podwykonawcy przebywali na terenie budowy w ubraniach roboczych z oznaczeniami firmy na plecach. W sprawie nie by\u0142 kwestionowany fakt realizacji rob\u00f3t budowlanych, kt\u00f3re zosta\u0142y odebrane przez inwestora.<\/p><p>Jak wynika z dotychczasowego orzecznictwa, zgoda inwestora na zawarcie przez wykonawc\u0119 umowy z podwykonawc\u0105 mo\u017ce zosta\u0107 wyra\u017cona w r\u00f3\u017cny spos\u00f3b, przy czym rozr\u00f3\u017cnia si\u0119 zgod\u0119 biern\u0105 inwestora (brak sprzeciwu co do otrzymanego zg\u0142oszenia zawarcia umowy z podwykonawc\u0105), zgod\u0119 czynn\u0105 wyra\u017con\u0105 wprost (bezpo\u015brednia akceptacja co do zawarcia umowy z podwykonawc\u0105) oraz zgod\u0119 czynn\u0105 dorozumian\u0105 (ka\u017cde zachowanie wyra\u017caj\u0105ce wol\u0119 w spos\u00f3b dostateczny, np. tolerowanie wykonywania rob\u00f3t budowlanych przez podwykonawc\u0119). W zale\u017cno\u015bci od konkretnej formy wyra\u017cenia przez inwestora zgody na zawarcie umowy z podwykonawc\u0105 przyjmowane by\u0142y r\u00f3\u017cne warunki, kt\u00f3rych spe\u0142nienie doprowadza\u0142o do powstania solidarnej odpowiedzialno\u015bci inwestora za zap\u0142at\u0119 wynagrodzenia podwykonawcy. W praktyce obrotu bardziej liberalne kryteria przyjmowane w przypadku zgody wyra\u017conej wprost (tj. brak konieczno\u015bci wiedzy o istotnych postanowieniach umowy zawartej z podwykonawc\u0105) zacz\u0119\u0142y by\u0107 przyjmowane r\u00f3wnie\u017c w przypadku zgody dorozumianej, co wzbudzi\u0142o w\u0105tpliwo\u015bci s\u0105du formu\u0142uj\u0105cego pytanie prawne we wskazanej sprawie. Ostatecznie S\u0105d Najwy\u017cszy uzna\u0142, \u017ce w przypadku zgody wyra\u017conej w spos\u00f3b dorozumiany do powstania solidarnej odpowiedzialno\u015bci inwestora za zap\u0142at\u0119 wynagrodzenia podwykonawcy konieczne jest umo\u017cliwienie mu zapoznanie si\u0119 z istotnymi postanowieniami zawartej umowy. W\u015br\u00f3d istotnych postanowie\u0144 takiej umowy nale\u017cy wymieni\u0107 w szczeg\u00f3lno\u015bci te zapisy, kt\u00f3re decyduj\u0105 o wysoko\u015bci wynagrodzenia nale\u017cnego podwykonawcy.<\/p><p>Powo\u0142ana wy\u017cej uchwa\u0142a mo\u017ce mie\u0107 istotne znaczenie z punktu widzenia praktyki obrotu, lecz nie eliminuje wszystkich zagro\u017ce\u0144 istniej\u0105cych po stronie inwestora wynikaj\u0105cych z wykonywania rob\u00f3t budowlanych przez podwykonawc\u00f3w. Nale\u017cy pami\u0119ta\u0107, \u017ce dla przyj\u0119cia istnienia dorozumianej zgody po stronie inwestora wystarczaj\u0105ce jest wykazanie, \u017ce inwestor mia\u0142 wiedz\u0119 o istotnych postanowieniach zawartej umowy, przy czym wiedza ta mo\u017ce pochodzi\u0107 z dowolnego \u017ar\u00f3d\u0142a i by\u0107 pozyskana zar\u00f3wno przed jak i po zawarciu umowy.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a7b69d9 elementor-alert-info exad-sticky-section-no exad-glass-effect-no elementor-widget elementor-widget-alert\" data-id=\"a7b69d9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"alert.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-alert\" role=\"alert\">\n\n\t\t\t\n\t\t\t\t\t\t<span class=\"elementor-alert-description\">\u00a9 Miller, Canfield, W.
